Terms of Service

Welcome to Quietly. These Terms of Service ("Terms") govern your use of the Quietly mobile application ("App") provided by Verdant Digital Co (a trading name of Verdant Labs Pty Ltd, ABN pending) ("we," "us," or "our").

By downloading, installing, or using Quietly, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the App.

We grant you a limited, non-exclusive, non-transferable, revocable license to use Quietly for your personal, non-commercial purposes, subject to these Terms. This license does not include the right to:


2. User Accounts

Quietly does not require you to create an account. Your data is stored locally on your device and, if you choose to enable iCloud sync, in your private iCloud container. You are responsible for maintaining the security of your device and iCloud account.


3. Purchases and Payments

Free Features: Quietly is free to download and use with up to 3 habits.

Premium Upgrade: A one-time in-app purchase unlocks unlimited habits, premium themes, and full analytics access. This is a non-consumable purchase—you pay once and own it forever.

Payment Processing: All payments are processed by Apple through the App Store. We do not have access to your payment information. Purchases are subject to Apple's terms and conditions.

Refunds: Refund requests must be made through Apple at reportaproblem.apple.com. We cannot process refunds directly.


4. Intellectual Property

All content, features, and functionality of Quietly—including but not limited to text, graphics, logos, icons, and software—are owned by Verdant Digital Co and are protected by Australian and international copyright, trademark, and other intellectual property laws.


5. Your Data

You retain ownership of all habit data you create within Quietly. We do not claim any ownership rights over your personal information or habit history. Please refer to our Privacy Policy for details on how we handle your data.

Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the practices of third-party services.


7. Disclaimer of Warranties

Quietly is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the App will be uninterrupted, error-free, or free of viruses or other harmful components.

Health Disclaimer: Quietly is a habit tracking tool and is not intended to provide medical advice, diagnosis, or treatment. Always consult a qualified healthcare provider for health-related decisions.


8. Limitation of Liability

To the maximum extent permitted by applicable law, Verdant Digital Co shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or other intangible losses, arising out of or related to your use of the App.

Our total liability for any claims arising from these Terms or your use of the App shall not exceed the amount you paid for the Premium upgrade, if any.


9. Indemnification

You agree to indemnify, defend, and hold harmless Verdant Digital Co and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the App or violation of these Terms.


10. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the App or by other means. Your continued use of Quietly after changes take effect constitutes acceptance of the revised Terms.


11. Termination

We reserve the right to suspend or terminate your access to Quietly at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

You may stop using Quietly at any time by deleting the App from your device.


12. Governing Law

These Terms are governed by the laws of New South Wales, Australia. Any disputes arising from these Terms or your use of Quietly shall be subject to the exclusive jurisdiction of the courts of New South Wales.


13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
